“Share the Love” Valentine’s Campaign – Terms & Conditions

The Share the Love Valentine’s Campaign (“Campaign”) is organised by Coinmerce B.V. (“Coinmerce”) and is subject to the following Terms & Conditions.

1. Campaign Description

The Campaign consists of a game-based competition linked to Valentine’s Day, in which participants can compete for a shared prize by achieving a top score in a mobile game.

The game is made available via the Ajax app and through the web link during the Campaign period.

2. Campaign Period

• Game availability:
   From 13 February 2025 at 00:00 (CET) until 15 February 2025 at 23:59 (CET)

Only scores achieved during this period are eligible for participation.

3. Eligibility

Participation is open to individuals who:

• Are residents or nationals of countries where Coinmerce provides its services

• Have a valid Coinmerce account

• Successfully complete all required identity and bank verification

• Are not subject to active customer screening restrictions at the time of prize allocation

• Participation is open to individuals who are 18 years of age or over.
  

Coinmerce reserves the right to exclude participants who do not meet these requirements.

4. Participation in the Game

• Eligible users may play the game an unlimited number of times during the Campaign period

• Only the highest score per participant will be taken into account

• Participation is free and does not require a purchase
  

5. Winner Selection

• The participant(s) with the highest score at the end of the Campaign period qualify for winner selection

• If multiple participants achieve the same highest score, one winner will be selected at random from those participants

• The winner will be contacted using the contact details associated with their Coinmerce account

• The winner will be contacted within five business days after the end of the campaign.
  

6. Prize

The total prize pool is €10,000, distributed as follows:

• €5,000 awarded to the winner

• €5,000 awarded to a second person chosen by the winner (“Second Recipient”)

Both prize amounts are credited to separate Coinmerce accounts.

The prizes are awarded in bitcoin (BTC) and together represent a total value equivalent to €10,000 (ten thousand euros), split into two as described above, calculated at the exact date and time the prizes are transferred to the winners.

7. Second Recipient Verification & Replacement

• After the winner has been determined and contacted by Coinmerce Marketing, the winner may nominate a second recipient through email.

• The Second Recipient must complete all required Coinmerce verification steps.

• The Second Recipient must complete verification within 14 calendar days after being nominated
  
  

  If the Second Recipient:

• does not complete verification within this timeframe, or

• fails Coinmerce’s compliance or screening requirements
  

then:

• the winner may nominate one alternative Second Recipient, provided this is done within 7 calendar days after notification by Coinmerce
  

• no further replacements will be allowed
  

If no eligible Second Recipient is confirmed within the allowed timeframe, Coinmerce reserves the right to withhold or reallocate the second portion of the prize.

8. Winner Response Timeline

• The selected winner must respond to Coinmerce’s notification within 7 calendar days
  

• If the winner does not respond within this timeframe, Coinmerce reserves the right to select a new winner from the remaining highest-scoring participants
  

9. Prize Distribution Timeline

• Prize distribution will take place within 30 calendar days after:
  

  • the winner’s verification is completed, and

  • the Second Recipient’s verification is completed
    

    If verification or screening is delayed, distribution will occur once all requirements have been successfully fulfilled.

10. Prize Format & Restrictions

• Prizes are awarded in a form determined by Coinmerce (including crypto assets)

• Prizes:

  • are non-transferable

  • cannot be exchanged for cash

  • may not be used solely for immediate withdrawal to a bank account
    

11. Fraud, Abuse & Disqualification

Coinmerce reserves the right to disqualify participants and withhold prizes in cases of:

• suspected fraud, abuse, or misuse

• manipulation of game mechanics, scores, or technical systems

• use of scripts, bots, exploits, or external tools

• violations of Coinmerce platform rules or applicable laws
  

Coinmerce’s decisions regarding disqualification are final.

12. Data Sharing

By participating in the Campaign, participants acknowledge and agree that:

• relevant participation data may be shared between Coinmerce and Ajax

• data will be processed solely for Campaign execution, verification, and compliance purposes
  

All data processing is conducted in accordance with applicable privacy laws.

13. Marketing Communication Consent (Coinmerce)

Participation in the Campaign does not automatically subscribe participants to marketing communications.

A separate opt-in checkbox may be provided for users who wish to receive marketing communications from Coinmerce. Consent can be withdrawn at any time.

14. General Conditions

• Coinmerce reserves the right to modify, suspend, or terminate the Campaign or these Terms & Conditions at any time

• Coinmerce’s decisions regarding the Campaign are final and binding
  

15. Legal & Compliance

• The Campaign is subject to all applicable laws and regulations

• Coinmerce’s general Terms & Conditions apply in addition to these Campaign Terms
  

16. Governing Law

These Terms & Conditions are governed by the laws of the Netherlands.
